TERMS AND CONDITIONS OF THE AGEDIS.COM ONLINE SHOP

I. GENERAL CONDITIONS

These Terms and Conditions define the rules for using the online shop available at sklep.adegis.com, operated by ADEGIS Spółka z ograniczoną odpowiedzialnością - Spółka komandytowa, having its registered office in Wodzisław Śląski (44-300), ul. Marklowickiej 21D, registered in the Register of Entrepreneurs - National Court Register kept by the District Court in Gliwice, X Economic Department of the National Court Register under the KRS number: 0000538610, (hereinafter referred to as ADEGIS) as a professional entrepreneur in the field of diagnostics, repair and sale of industrial automation components. The Terms and Conditions of the online shop sklep.adegis.com (hereinafter referred to as "Terms and Conditions") define the general conditions, basic principles and manner of cooperation between the Parties in selling products and providing services by ADEGIS, as well as the rules of operation of the website sklep.adegis.com. In particular, the Regulations define the rules for:
1. Sale of new surplus, reconditioned, used and damaged products,
2. Selling products according to the offered ADEGIS Exchange Service,
3. Providing maintenance services on behalf of the Customer,
4. Perform other services for the customer.
Information published on the website sklep.adegis.com does not constitute an offer in the sense of the Civil Code, but only an invitation to place an order.
If any provision of these terms and conditions is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By placing an order, the Client acknowledges that the Terms and Conditions are an integral part of the contract concluded with ADEGIS, and to this extent the Parties exclude the application of any provisions of the General Terms and Conditions of Sale or Services applicable to the Client.
The Customer can use the website of the Shop and place orders in Polish and English language.

II. DEFINITIONS

ADEGIS - means ADEGIS Spółka z ograniczoną odpowiedzialnością - Spółka komandytowa with its registered office in Wodzisław Śląski, registered in the Register of Entrepreneurs - the National Court Register kept by the District Court in Gliwice, X Commercial Department of the National Court Register under the KRS number: 0000538610.

Order Form - a function available on the website of the Shop, through which the Customer can purchase goods or services and specify some of the terms of the Purchase agreement.

Customer - a natural person, a legal entity or an unincorporated organizational unit with legal capacity granted by law, who conducts business and concludes an agreement with ADEGIS through the Store.

Consumer - a natural or legal person who concludes a contract directly related to his/her business activity, unless the contract is of a professional nature for him/her.

Regulations - these Terms and Conditions.

Store - an online store operating at shop.adegis.com and sklep.adegis.com, selling goods and services via the Internet.

Store Website - means the web pages on which ADEGIS operates the online store, operating under the domain shop.adegis.com and sklep.adegis.com.

Contract - a contract for the sale of goods or services concluded remotely through the Store..

III. RULES OF USE OF THE INTERNET SHOP

The Internet shop is made available by ADEGIS through the Internet network and the Shop website located at shop.adegis.com and sklep.adegis.com.
The use of the website shop.adegis.com requires:
1. Provision by the Customer of a device allowing access to the Internet together with software - an Internet browser,
2. provision by the Customer of access to the Internet via any telecommunication connection.
The purchase of a product does not require registration in the Store.
The information provided on the web pages of the Store, including information about the presented products, in particular their descriptions, technical and usage parameters and prices, does not constitute an offer within the meaning of Article 66 of the Polish Civil Code, but an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code.
Placing an Order is carried out using the Order Form, available on the Store's website.
Each Customer placing an Order agrees to receive information related to the progress of the transaction and notifications of changes to these Regulations to the e-mail address provided by the Customer.
In order to ensure the security of the transmission of messages and data in connection with the services provided on the Site, the Online Store takes technical and organizational measures appropriate to the degree of security threat to the services provided, in particular, measures to prevent unauthorized persons from obtaining and modifying personal data transmitted over the Internet.
ADEGIS makes every effort to ensure the proper and undisturbed operation of the Store, but in case of any irregularities, please report them to the e-mail address: tomasz.palka@adegis.com.
ADEGIS reserves the possibility of the occurrence of interruptions in the operation of the Store's website, which are related to the necessity of carrying out work related to maintenance, updating or repair of the Store's failure, necessary for the proper operation of the Store.

IV. PROCEDURE FOR CONCLUDING A CONTRACT OF SALE

In order to place an Order, one must go to the website sklep.adegis.com, select a product by adding it to the shopping cart, and then take further technical actions based on the messages displayed to the Customer and the information available on the website. An Order placed is considered to be an offer to conclude a sales contract with ADEGIS. The offer is binding for 14 calendar days from the moment of placing the Order.
In the Order, the Customer is obliged to specify: his/her data, i.e. name, surname and address, and in the case of legal persons and natural persons conducting business activity also identifying data such as company, NIP, REGON, business activity registration number or KRS number, and indicate the subject of the Order.
A customer who is a natural person conducting business activity, for whom the concluded sales contract is not of a professional nature arising in particular from the subject of his business activity, should include the subject information during the process of placing the Order.
In the case of replacement service, the damaged item must be returned by the Customer to ADEGIS within 10 (ten) working days from the date of placing the Order. The damaged item must be repairable, which is subject to final evaluation by ADEGIS. Otherwise, ADEGIS will treat such Order as a Sales Order and will add an amount that is the difference between the value of the replacement service device and the value of the refurbished device. In the case of an exchange service, ADEGIS is not obliged to transfer the software from the device transferred by the customer to the device purchased by the customer.
ADEGIS confirms acceptance of the Order.
Confirmation of the Order by ADEGIS signifies the conclusion of a sales agreement between the parties under the terms and conditions set forth in the offer and the Terms and Conditions, which are an integral part of such agreement. The offer may be accepted only without reservations.
The term of execution of the Order is calculated from the date ADEGIS sends a confirmation of the transfer of the Order for execution, which will be sent no later than 1 day after the receipt of funds from the paid order or advance payment to ADEGIS' bank account. The term of execution of the Order specified in the offer is extended in case of circumstances beyond the control of ADEGIS, for the duration of their duration.
The customer may not withdraw from the contract or in any way evade its execution in case of an erroneous Order or Purchase Order. In the case of a sale, the return of goods is possible only with the prior written consent of ADEGIS. The goods shall be returned unused, in the original packaging In case of return of the goods, the Customer shall pay a handling fee of 15% of the price of the goods and the cost of retesting the device by ADEGIS, which depends on the value of the ordered goods and is as follows:

If the Customer sends back the goods without prior approval from ADEGIS, this does not relieve the Customer of the obligation to pay for the goods in accordance with the contract.

V. PROCEDURE FOR CONCLUDING A REPAIR CONTRACT

Information about the availability of the repair service of the device and its estimated price is given individually for each product and does not constitute an offer within the meaning of Article 66 of the Polish Civil Code, but an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code. ADEGIS stipulates that the quoted price of the service is an indicative price, the amount of which may change depending on the type and scope of the device repair.
In order to make a request for equipment repair, the Customer should visit the website sklep.adegis.com, select the service by adding it to the shopping cart, and then take further technical actions based on the messages displayed to the Customer and the information available on the website.
In the inquiry the Customer is obliged to specify: his/her data, i.e. name, surname and address, and in the case of legal persons and natural persons conducting business activity also identifying data such as company, NIP, REGON, number of entry in the register of business activity or KRS number type of goods with indication of detailed parameters and description of its purpose, description of noticed irregularities in the operation of the device. The Customer is also obliged to send ADEGIS the device to be repaired.
The Customer, who is a natural person engaged in business activity, and for whom the concluded purchase agreement is not of a professional nature, resulting in particular from the subject of his/her business activity, should include the relevant information in the request.
Each repair of the Customer's device is priced on the basis of a free expert opinion.
After the expertise, ADEGIS sends the Customer an offer to repair the device with an indication of the price for the service and the expected time of repair and delivery of the device to the Customer (this time depends on the availability of components), delivery costs. The Customer orders the repair of the device in writing. Ordering the repair of an appliance means the conclusion of an Order Agreement between the parties under the terms and conditions specified in the offer and the Terms and Conditions, which are an integral part of such agreement. The offer can only be accepted without reservations. The offer is binding for a period of 7 (seven) days. Delivery of the equipment by ADEGIS shall be made on INCOTERMS CPT terms.
If the Customer does not place an Order within the offer binding period, the Customer shall inform ADEGIS within the next 30 (thirty) calendar days whether the device is to be sent back to its address free of charge or whether ADEGIS is to dispose of the device at its own expense.
After the expiration of twelve (12) months, the Device shall be deemed abandoned by the Customer in accordance with Article 180 of the Civil Code, which shall entitle ADEGIS to dispose of the Device. The Customer shall have no claims against ADEGIS.
If, due to extraordinary circumstances that could not have been foreseen during the examination, it turns out that repair is not possible due to reasons inherent in the device, ADEGIS will immediately inform the Customer. The Customer is obliged to inform ADEGIS within the following 30 (thirty) calendar days whether the device is to be sent back to its address free of charge or whether ADEGIS is to dispose of it at its own expense. The provisions of paragraph 6 above shall apply accordingly.
In case of ineffective expiration of the terms specified in paragraphs 5 and 7, a fee of PLN 50 net will be charged for each day of further storage of the goods.
ADEGIS is not responsible for the loss of parameters of the device during repair, nor for the data placed on the data carriers (SD cards, HDD, etc.).

VI. OTHER SERVICES

ADEGIS provides other types of services to Customers, such as training services, implementation services, on-site services, etc.
The Client submits a request to ADEGIS, which can be sent by mail, e-mail or fax. In the inquiry, the Client is obliged to specify its data, i.e. name, surname and address, and in the case of legal entities and natural persons conducting business activity, also identifying data such as company name, Tax identification Numer, business registration number or KRS number, and the subject of the service covered by the inquiry, together with the specification of all data known to the Client concerning it. In response to the inquiry, ADEGIS shall send the Client an offer containing the price for the performance of the service and other essential elements thereof, in particular the scope, duration and location of the service. The offer shall be binding on the parties for a period of 7 (seven) days from the date of its delivery to the Client.
If the Customer is a natural person who is engaged in a business activity and for whom the concluded purchase contract is not of a professional nature, resulting in particular from the subject of his/her business activity, the Customer shall provide the relevant information in the process of submitting an offer.
The contract for the provision of services is concluded when the Customer accepts the offer, which can be done by post, e-mail or fax. The offer can only be accepted unconditionally.
Payment for the services is due in full, without the possibility of installments, deductions, counterclaims or retention of any part, and in the currency specified in the ADEGIS offer within 14 (fourteen) days from the date of the invoice, except for paragraph 6.
In case of commencing cooperation with a new Client, ADEGIS reserves the right to make the commencement of the order dependent on the payment of an advance in the amount of 50% of the value of the service. The commencement of the performance of the service shall take place not later than 1 day after the receipt of the amount on the bank account of ADEGIS. The Customer will be informed about the necessity of the advance payment at the time of placing the order.
ADEGIS shall under no circumstances be liable for any loss of profit, loss of contacts, increase in costs, loss of revenue, loss of use, loss of data, or for any other possible or indirect damage suffered by the Customer.
The Client shall not be entitled to withhold payment for the services rendered by ADEGIS in the event of a claim for improper performance of the services.

VII. PRICES AND PAYMENT METHODS

The prices of goods are given in Polish Zloty, Euro and American Dollar and exclude VAT (include VAT amount in the checkout process). The price of the goods does not include the cost of delivery and any customs duties.
In case of any discrepancy between the price indicated on the website of the store and the price indicated by ADEGIS in response to the Customer's order, the price indicated by ADEGIS in response to the Customer's order shall be binding.
Payment for the goods shall be made in full, without the possibility of installments, deductions, recourse or retention of any part, and in the currency specified in the ADEGIS offer.
Payment for the repair or service shall be made in full, without the possibility of deduction, recourse or retention of any part, and in the currency included in the ADEGIS offer, within 14 (fourteen) days from the date of the invoice.
If the offer is made in a foreign currency, the value of the invoice can be converted into Polish zloty according to the exchange rate of that currency in ING Bank at the selling rate published in the non-cash table (https://www.ing.pl/kursy-walut) on the date of the invoice.
ADEGIS allows the client to make payments by:
1. Traditional bank transfer with the possibility of advance payment, which allows payment in Polish Zloty or in Euro. The execution of the order will start not later than 1 working day after the money is received on the bank account of ADEGIS,
2. Deferred payment term (so called "trade credit") available for regular customers who have a positive purchase history in the Store,
3. iMoje electronic payment, which enables payment in Polish zloty and euro, using electronic (instant) and traditional transfer, BLIK mobile payment, VISA and Mastercard, "iMoje pay later" option,
4. Paypal, which allows payment in currencies available on the site.

Information about available payment methods will be provided to the Customer during the ordering process.
Whenever ADEGIS is informed about a reduction in the price of a good or service (promotional price information), ADEGIS will provide information about the lowest price of the good or service during the 30 days prior to the reduction, in addition to the information about the reduced price. In the case of goods or services offered for sale for less than 30 days, ADEGIS will provide, in addition to information about the reduced price, information about the lowest price for a particular good or service that was in effect during the period from the date it was offered for sale until the date the reduction was introduced.

VIII. DELIVERY

Sales are made by mail order with delivery by courier or shipping company. Delivery to the customer is made under the terms of INCOTERMS CPT.
ADEGIS makes deliveries to the address indicated by the Customer using third party companies:
1. UPS courier company - for small consignments with a maximum weight of 70kg and with a maximum length of 274cm, 400cm in length including girth,
2. RABEN shipping company - for shipments delivered on a pallet.

Information on available shipping methods will be made available to the customer during the ordering process.

If the goods are delivered by a specialized carrier, the Customer is obliged to check the condition of the shipment and its contents. In the event of any shortage or damage in transit, the Customer is obliged to make the appropriate reservations on the bill of lading, on pain of forfeiture of his rights.
The order can be personally collected by the customer at the ADEGIS office on working days from 7:00 to 15:00.
The customer will be charged for the delivery costs according to the size of the shipment and the price list of the delivery company.

IX. ODSTĄPIENIE OD UMOWY

Zgodnie z Ustawą z 30 maja 2014 r o prawach konsumenta, Klient będący Konsumentem może odstąpić od umowy sprzedaży zawartej na odległość lub poza lokalem przedsiębiorstwa bez podania przyczyny w ciągu 14 dni od dnia odebrania przesyłki, a w przypadku umowy zawartej podczas nieumówionej wizyty w miejscu zamieszkania lub zwykłego pobytu Konsumenta albo wycieczki – w terminie 30 dni.
W celu skorzystania z prawa odstąpienia od Umowy należy wysłać jednoznaczne oświadczenia o odstąpieniu od Umowy na piśmie na adres ADEGIS lub pocztą elektroniczną na adres email sklep@adegis.com
Dla zachowania terminu do odstąpienia od umowy wystarczy, aby informacja dotycząca wykonania przysługującego Klientowi prawa odstąpienia od umowy została wysłana przed upływem terminu wskazanego w pkt 1.
W celu odstąpienia od umowy Klient może skorzystać ze Wzoru oświadczenia o odstąpieniu od Umowy zamieszczonego na końcu Regulaminu.
W przypadku skutecznego odstąpienia od Umowy uważana jest ona za niezawartą. Klient powinien niezwłocznie, nie później niż w ciągu 14 dni od dnia złożenia oświadczenia o odstąpieniu od umowy, odesłać towar na adres ul. Marklowicka 21D, 44-300 Wodzisław Śląski oraz umieścić w nazwie odbiorcy informację „Adegis- zwrot towaru”.
Towar powinien zostać zwrócony w stanie niepogorszonym, nienoszącym śladów korzystania w sposób wykraczający poza konieczny do stwierdzenia charakteru, cech i funkcjonowania towaru. Klient ponosi odpowiedzialność za zmniejszenie wartości towaru, w tym będące wynikiem korzystania z niego w sposób określony w zdaniu poprzednim.
Zwracany przez Klienta towar powinien zostać opakowany w odpowiedni sposób, zapewniający brak uszkodzeń przesyłki w trakcie transportu.
Koszt zwrotu towaru ponosi ADEGIS do wysokości najtańszego, zwykłego sposobu dostarczenia oferowanego przez ADEGIS towaru. Koszty przekraczające tą wysokość ponosi we własnym zakresie Klient.
ADEGIS dokona zwrotu płatności nie później niż w ciągu 14 dni od dnia otrzymania wysłanego przez Klienta oświadczenia o odstąpieniu od umowy. W przypadku gdy ADEGIS nie zaproponuje odbierania towaru od Klienta, wolno mu wstrzymać się ze zwrotem płatności do chwili otrzymania zwracanego towaru lub przedstawienia przez Klienta dowodu jego odesłania, w zależności od tego, które zdarzenie nastąpi wcześniej.
Zwrotu płatności zostanie dokonany przy użyciu takich samych sposobów płatności, jakie zostały przez Klienta użyte w pierwotnej transakcji, chyba że strony uzgodnią inaczej.

X. GWARANCJA

ADEGIS zastrzega prawo do udzielenia gwarancji na wybrane towary. Informacja o udzieleniu gwarancji i okresie jej trwania będzie indywidualnie oznaczona w przypadku konkretnego towaru. Termin gwarancji biegnie od daty dostawy towaru Klientowi. Jednocześnie Strony wyłączają stosowanie art. 581 k.c. Odpowiedzialność ADEGIS z tytułu gwarancji dotyczy obowiązku naprawy lub wymiany towaru, przy czym wybór w tym zakresie należy do ADEGIS. W czasie trwania okresu gwarancyjnego Klient nie jest uprawniony do dokonywania jakichkolwiek napraw, przeróbek sprzedanego towaru, czy to samodzielnie, czy to przez osoby trzecie, pod rygorem utraty uprawnień z gwarancji.
Aby skorzystać z uprawnień z tytułu gwarancji opisanej w punkcie 1, Klient jest zobowiązany powiadomić ADEGIS o stwierdzeniu wady w drodze pisemnej reklamacji gwarancyjnej w terminie 7 (siedmiu) dni od dnia ujawnienia się wady ze wskazaniem: rodzaju towaru, którego dotyczy wada, numeru faktury, rodzaju instalacji, w której zamontowano produkt, wady i okoliczności jej wystąpienia. Klient jest zobowiązany przesłać wadliwy towar na adres ADEGIS. Towar powinien być kompletny, w oryginalnym opakowaniu, zabezpieczającym przed uszkodzeniem. W przypadku braku lub niewłaściwego opakowania ryzyko uszkodzenia towaru podczas transportu ponosi Klient.
Po otrzymaniu zawiadomienia o wadzie i otrzymaniu wadliwego towaru ADEGIS rozpatrzy reklamację gwarancyjną w ciągu 21 (dwudziestu jeden) dni od otrzymania towaru, chyba że konieczne będzie przeprowadzenie ekspertyzy. Wtedy reklamacja gwarancyjna będzie rozpatrzona w ciągu maksymalnie 30 (trzydziestu) dni od dnia otrzymania towaru. W razie stwierdzenia istnienia wady objętej odpowiedzialnością gwarancyjną ADEGIS podejmuje decyzję albo o dokonaniu naprawy na swój koszt, albo o wymianie towaru na sprawny, albo wystawieniu faktury korygującej z jednoczesnym zatrzymaniem wadliwego towaru i zwrocie uiszczonej przez Klienta ceny. Decyzję w tym zakresie podejmuje tylko i wyłącznie ADEGIS. W przypadku nieuwzględnienia zgłoszonej reklamacji gwarancyjnej ADEGIS odeśle towar Klientowi na jego koszt i obciąży go fakturą obejmującą koszty np. ekspertyzy, materiałów, transportu.
W przypadku skorzystania przez Klienta z usług naprawy ADEGIS udziela 12-miesięcznej (dwunastomiesięcznej) gwarancji na całe urządzenie, ewentualna zmiana tego terminu jest możliwa jedynie w drodze indywidualnych pisemnych uzgodnień. Termin gwarancji biegnie od daty dostawy Klientowi naprawionego urządzenia. Jednocześnie Strony wyłączają stosowanie art. 581 k.c. Odpowiedzialność ADEGIS z tytułu gwarancji ogranicza się do naprawy. Postanowienia punktów 3 -5 stosuje się odpowiednio.
Aby skorzystać z uprawnień z tytułu gwarancji opisanej w punkcie 4, Klient jest zobowiązany powiadomić o stwierdzeniu wady ADEGIS w pisemnej reklamacji gwarancyjnej w terminie 5 (pięciu) dni od dnia ujawnienia się wady ze wskazaniem: rodzaju urządzenia, którego dotyczy wada, numeru faktury, wady i okoliczności jej wystąpienia. Klient jest zobowiązany przesłać wadliwe urządzenie na adres ADEGIS w terminie 7 dni od daty pisemnego zawiadomienia. W razie stwierdzenia istnienia wady objętej odpowiedzialnością gwarancyjną ADEGIS podejmuje decyzję albo o dokonaniu naprawy na swój koszt, albo wystawieniu faktury korygującej i zwrocie uiszczonej przez Klienta ceny. Decyzję w tym zakresie podejmuje tylko i wyłącznie ADEGIS. W przypadku nieuwzględnienia zgłoszonej reklamacji gwarancyjnej ADEGIS odeśle towar Klientowi na jego koszt i obciąży go fakturą obejmującą koszty np. ekspertyzy, materiałów, transportu.
Po otrzymaniu zawiadomienia o wadzie i otrzymaniu wadliwego urządzenia ADEGIS rozpatrzy reklamację gwarancyjną w ciągu 21 dni od otrzymania urządzenia, chyba że konieczne będzie przeprowadzenie ekspertyzy. W razie stwierdzenia istnienia wady objętej odpowiedzialnością gwarancyjną ADEGIS podejmuje decyzję o dokonaniu naprawy na swój koszt. W przypadku nieuwzględnienia zgłoszonej reklamacji gwarancyjnej ADEGIS odeśle urządzenie Klientowi na jego koszt i obciąży go fakturą obejmującą koszty np. ekspertyzy, materiałów, transportu.
Gwarancja nie obejmuje:

uszkodzeń mechanicznych i wad nimi wywołanych,
uszkodzeń wynikających z nieprawidłowej eksploatacji, konserwacji, montażu, instalacji, zabezpieczenia na czas transportu,
uszkodzeń powstałych wskutek nieprzestrzegania powszechnych zasad eksploatacyjnych oraz wszelkich innych uszkodzeń powstałych z winy lub niewiedzy użytkownika,
problemów współpracy produktów z urządzeniami i oprogramowaniem firm trzecich,
działania czynników zewnętrznych, np. chemicznych czy elektrycznych (np. przepięć, działania silnych pól magnetycznych lub elektromagnetycznych) oraz innych okoliczności niezależnych od ADEGIS.

Gwarancją nie są objęte materiały eksploatacyjne (akumulatory, baterie itp.), podlegające naturalnemu zużyciu w związku z eksploatacją.
Klient traci uprawnienia z tytułu gwarancji w przypadku:

dokonywania prób naprawy lub przeróbek podejmowanych we własnym zakresie, niezależnie od tego, czy samodzielnie, czy przy udziale osób trzecich,
uszkodzenia plomby gwarancyjnej lub innych stosowanych przez ADEGIS zabezpieczeń,
naruszenia terminu zgłoszenia wady wskazanego w punkcie 2 oraz innych warunków określonych w tym punkcie.

Strony wyłączają odpowiedzialność na zasadach rękojmi wobec Klientów niebędących Konsumentami.
ADEGIS nie ponosi żadnej odpowiedzialności w żadnych okolicznościach z tytułu jakiejkolwiek utraty zysków, utraty kontaktów, wzrostu kosztów, utraty przychodów, utraty możliwości używania, utraty danych lub z tytułu jakiejkolwiek szkody ewentualnej, lub pośredniej zaistniałych u Klienta.
Zgłoszenie reklamacji gwarancyjnej nie uprawnia Klienta do wstrzymania uregulowania płatności za dostarczone towary lub dokonaną naprawę.

XI. POLITYKA ZWROTÓW I REKLAMACJI

Klient niebędący Konsumentem, nie może odstąpić od umowy ani w jakikolwiek sposób uchylić się od jej wykonania w przypadku złożenia błędnego Zamówienia lub Zlecenia. W przypadku sprzedaży zwrot towaru jest możliwy jedynie po wcześniejszym uzyskaniu pisemnej zgody ADEGIS. Zwrotowi podlega towar nieużywany, w oryginalnym opakowaniu W przypadku dokonania zwrotu towaru Klient ponosi opłatę manipulacyjną w wysokości 25% ceny towaru. Jeśli Klient odeśle towar bez uzyskania wcześniejszej zgody ze strony ADEGIS, nie zwalnia go to z obowiązku dokonania zapłaty za towar zgodnie z umową.
Jeżeli otrzymany towar jest niezgodny z umową, Klient będący Konsumentem może skorzystać, według swojego wyboru, z uprawnień przysługujących mu od ADEGIS z tytułu rękojmi lub z uprawnień wynikających z gwarancji.
Wobec Klienta będącego Konsumentem ADEGIS odpowiada z tytułu rękojmi, jeżeli sprzedany towar ma wadę fizyczną lub prawną, przy czym:
1. przez wadę fizyczną należy rozumieć niezgodność towaru z umową sprzedaży, w szczególności, jeżeli towar:
  1. nie ma właściwości, które towar tego rodzaju powinien mieć ze względu na cel w umowie sprzedaży oznaczony albo wynikający z okoliczności lub przeznaczenia,
  2. nie ma właściwości, o których istnieniu sprzedawca zapewnił Klienta,
  3. został Klientowi wydany w stanie niezupełnym.
2. przez wadę prawną należy rozumieć niezgodność towaru z umową sprzedaży, w szczególności, jeżeli towar:
  1. stanowi własność osoby trzeciej,
  2. obciążony jest prawem osoby trzeciej,
  3. ograniczenie w korzystaniu z towaru lub rozporządzaniu nim wynika z decyzji, lub orzeczenia właściwego organu.
Nie uznaje się za wadę fizyczną ubytku czy też uszkodzenia towaru, o którym Klient został poinformowany przed dokonaniem zakupu i zgodził się na przesłanie towaru w takim stanie.
W przypadku stwierdzenia niezgodności towaru z umową Klientowi będącemu Konsumentem przysługuje prawo do złożenia reklamacji w Sklepie. Reklamacja może zostać złożona: osobiście, telefonicznie, listem poleconym lub za pośrednictwem poczty elektronicznej na adres: sklep@adegis.comUprawnienie to przysługuje Klientowi będącemu Konsumentem w ciągu 2 (dwóch) lat od daty doręczenia towaru. W takim przypadku Klient może odesłać towar przesyłką pocztową ekonomiczną na adres ADEGIS: ul. Marklowicka 21D, 44-300 Wodzisław Śląski. Wraz z przesłanym towarem, Klient powinien załączyć dowód zakupu potwierdzający nabycie go od ADEGIS.
Reklamacja powinna zawierać co najmniej imię i nazwisko Klienta oraz adres e-mail, jakimi posłużył się do Klient, składając zamówienie, określenie towaru, który jest reklamowany oraz opis zgłaszanych zastrzeżeń wraz z żądaniem Klienta związanym ze składaną reklamacją. Reklamacja składana pisemnie powinna zawierać ponadto adres korespondencyjny Klienta. W przypadku braku ww. danych ADEGIS może zwrócić się do Klienta o uzupełnienie ww. danych.
W ramach składania reklamacji Klient będący Konsumentem może żądać:
1. naprawienia towaru;
2. wymiany towaru na wolny od wad;
3. obniżenia ceny;
4. odstąpienia od umowy – o ile wada jest istotna.
Klient będący Konsumentem powinien zgłosić reklamację w ciągu roku od dnia dostrzeżenia wady. Termin na złożenie reklamacji nie może jednak zakończyć się przed upływem dwuletniego okresu odpowiedzialności ADEGIS za sprzedany towar.
ADEGIS w ciągu 14 dni roboczych ustosunkuje się do reklamacji towaru zgłoszonej przez Klienta i powiadomi go o sposobie dalszego postępowania.
ADEGIS nie ponosi odpowiedzialności za wadę fizyczną towaru powstałą w przypadku jego nieprawidłowego zamontowania lub/ uruchomienia, w przypadku, gdy czynności te zostały wykonane przez Kupującego niepostępującego zgodnie z treścią instrukcji otrzymanej od ADEGIS
W przypadku uznania reklamacji ADEGIS zwróci Klientowi koszty związane z odesłaniem reklamowanego towaru i pokryje koszt ponownego wysłania towaru do Klienta. Zwrot środków następuje wedle zasad opisanych w części IX Regulaminu.
Klientowi przysługuje prawo do złożenia reklamacji związanej z funkcjonowaniem serwisu sklep.adegis.com w terminie 7 dni od dnia, w którym doszło do zdarzenia będącego przyczyną reklamacji. Reklamacje można składać na adres poczty elektronicznej: tomasz.palka@adegis.com.
Reklamacja powinna zawierać w swej treści: imię i nazwisko lub nazwę Klienta, adres pocztowy, jak również dokładny opis i powód reklamacji.
Reklamacja rozpatrywana jest przez ADEGIS w terminie nie dłuższym niż 14 dni od daty skutecznego jej złożenia. O sposobie rozpatrzenia reklamacji ADEGIS niezwłocznie powiadomi składającego ją Klienta.

X. NEWSLETTER

Newsletter jest funkcjonalnością serwisu sklep.adegis.com.
Newsletter służy usprawnieniu i ułatwieniu procesu komunikowania się przez ADEGIS z Klientami poprzez zautomatyzowane przesyłanie na wskazany przez Klienta przy rejestracji adres e-mail wyselekcjonowanych informacji o produktach i usługach oferowanych przez ADEGIS.
Aktywacja usługi Newsletter odbywa się poprzez wypełnienie formularza dostępnego w serwisie sklep.adegis.com i zaznaczenie odpowiedniej zgody na otrzymywanie treści, o których mowa w ust. 2, na podany adres e-mail Klienta.
Rezygnacja z usługi Newsletter możliwa jest w każdym czasie i wymaga skorzystania z opcji umożliwiającej rezygnację dostępnej w każdym przesłanym Newsletterze.

XI. OPINIE KLIENTÓW

Prezentowane na Stronie Internetowej Sklepu opinie są gromadzone oraz weryfikowane za pośrednictwem zewnętrznych serwisów.
W celu złożenia opinii Klient może skorzystać z linku wysłanego za pośrednictwem serwisu getreview.pl na podany przez niego adres e-mail, który otrzyma po dokonaniu zakupu towaru lub usługi. Możliwość wyrażenia opinii dotyczy wyłącznie Klientów, którzy sfinalizowali zakup towaru lub usługi w Sklepie.

XII. OCHRONA DANYCH OSOBOWYCH

Dane zbierane przez programy opisane w punkcie 6 gromadzone są za pomocą technologii „cookies” i nie są nigdy łączone z danymi podanymi nam przez Klienta, stanowiąc jedynie materiał do analizy statystycznej i mechanizmów korygowania błędów systemowych. Klient może w każdym czasie zablokować umieszczenie plików cookies na swoim urządzeniu przez odpowiednią konfigurację swojej przeglądarki internetowej. W przypadku zablokowania plików cookies ADEGIS nie może zagwarantować poprawnego działania strony internetowej.
Postanowienia dotyczące prywatności oraz ochrony danych osobowych Klienta zostały zawarte w Polityce Prywatności dostępnej w postaci elektronicznej pod adresem: https://sklep.adegis.com/strony/polityka-prywatnosci

XIII. POSTANOWIENIA KOŃCOWE

W sprawach nieuregulowanych zastosowanie mają obowiązujące przepisy prawa polskiego, w tym przepisy kodeksu cywilnego.
Ewentualne spory związane z realizacją umów opartych na Regulaminie będzie rozstrzygał Sąd właściwy ze względu na siedzibę ADEGIS.
Regulamin w niniejszym brzmieniu wchodzi w życie z dniem 1.02.2023 r. i stosuje się je do umów zawartych od dnia 1.02.2023 r.
ADEGIS zastrzega sobie prawo do zmiany niniejszego Regulaminu
